Users shall make every effort to safeguard SKILL TREE’s intellectual property rights and ensure that, in connection with the execution and performance under this Agreement, they do not infringe any patent, copyright, trade secret, trademark, work right, or any other proprietary right of SKILL TREE.
f. Any intellectual property reproduced on this website that is not owned by or licensed to SKILL TREE is duly acknowledged.
6. CONFIDENTIAL INFORMATION
a. All information available on this website, including any information provided through the Services, constitutes proprietary and confidential information belonging to SKILL TREE (“Confidential Information”).
b. The User agrees not to disclose, share, disseminate, or otherwise make available any Confidential Information to any third party at any time.
c. The User further agrees not to duplicate, reproduce, transmit, create derivative works from, or distribute any Confidential Information in any form.
d. The obligation to maintain the confidentiality of such information shall survive the termination or expiration of this Agreement.
e. The User acknowledges that, through access to the Services, they may become acquainted with SKILL TREE’s proprietary and confidential information. The User understands that any unauthorized use, disclosure, or breach of these obligations would cause irreparable harm, injury, loss, or damage to SKILL TREE, for which monetary compensation would be insufficient. Therefore, in addition to any legal remedies available, SKILL TREE shall be entitled to seek injunctive or other equitable relief to prevent or remedy such breaches.
7. REMEDY FOR BREACH
In the event of a breach of the terms and conditions of this Agreement, the User shall be liable to promptly indemnify and reimburse SKILL TREE for all costs, losses, and damages incurred as a result of such breach.
The User further acknowledges that any breach of this Agreement would cause irreparable harm to SKILL TREE for which monetary damages would be an inadequate remedy. Accordingly, SKILL TREE shall be entitled to seek immediate injunctive relief from any court of competent jurisdiction to prevent or restrain such a breach. This right to injunctive relief is in addition to, and not a limitation of, SKILL TREE’s right to pursue any other legal or equitable remedies available.
8. INDEMNIFICATION
a. The User shall defend, indemnify and hold SKILL TREE and its parents, subsidiaries and commonly owned or controlled affiliates, group entities and their respective officers, directors and employees harmless from all claims, damages, liabilities and expenses (including reasonable attorney’s fees and permitted and authorized costs) arising out of or in connection with liabilities or obligations imposed or attempted to be imposed upon SKILL TREE by breach of this Agreement or as a result of claims by third parties. Such indemnification is in addition to SKILL TREE’s right to terminate for a breach of representations and warranties and is not a waiver or limitation of SKILL TREE’s other rights or remedies.
b. SKILL TREE does not make any warranties, express or implied, of its Services, offerings, delivery systems, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. SKILL TREE shall not be liable to the user for any punitive, special, indirect, consequential, incidental or other special damages, costs, claims or losses arising out of this Agreement, even if SKILL TREE has been advised of the possibility of such damages, costs, claims or losses.
c. You hereby agree to indemnify, defend, and hold SKILL TREE, and its parents, subsidiaries and commonly owned or controlled affiliates, group entities and their respective officers, directors and employees harmless from and against any and all losses, damages, claims, liabilities and costs arising from your use of this website or the Services hereunder.
9. LIMITATION OF LIABILITY
Under no circumstances shall SKILL TREE be liable for any damages of any kind, including but not limited to:
(1) direct, indirect, punitive, special, exemplary, incidental, or consequential damages (such as loss of business, revenue, profits, data, programs, or other economic advantage), or
(2) direct damages exceeding the total amount paid by the User to SKILL TREE,
arising from the use, misuse, inability to use, or any errors, omissions, or inaccuracies in the website, the Services, or any information provided therein.
Some jurisdictions do not permit the exclusion or limitation of liability; in such cases, certain limitations stated above may not apply to the User.
10. TERMINATION / CANCELLATION / REFUND POLICY

11. SUBSCRIBER RESPONSIBILITY

However, if any provision is found to be prohibited or invalid under such law, it shall be ineffective only to the extent of that prohibition or invalidity, without affecting the validity or enforceability of the remaining portion of that provision or the other provisions of this Agreement.
17. GOVERNING LAW
a. This Agreement, along with any related documents executed by the Parties in connection with the transaction, shall be governed by and interpreted in accordance with the laws of the Republic of India and the State of Maharashtra.
b. The Courts of Mumbai shall have exclusive jurisdiction to hear and adjudicate any disputes or matters arising from this Agreement.
18. ADULT MAJOR
a. The User represents and warrants that they are a legal adult and over 18 years of age. We do not enter into agreements with, nor accept payments from, individuals who are not legally recognized as adults or minors under applicable law.
19. WAIVER
No failure or delay by either party in exercising any right under this Agreement shall be considered a waiver of that right. Similarly, a single or partial exercise of any right shall not prevent further exercise of the same right or the exercise of any other right. Any waiver of rights under this Agreement must be made in writing, signed by the party granting the waiver, and may be subject to such conditions as specified therein.

21. ENTIRE AGREEMENT
This Agreement, as may be updated from time to time and posted on the website represents the complete agreement and understanding between us with respect to the browsing / usage of the website and/or the Services and supersedes any other written or oral agreement.
